Terms of Service
1. Acceptance
These Terms of Service ("Terms") form a binding agreement between you and North Jersey Creative Services LLC, a New Jersey limited liability company doing business as NewPaths.ai ("NewPaths," "we," "us"). By accessing or using NewPaths.ai, the counselor dashboard at /counselor, our serverless API, or any related service (collectively, the "Service"), you agree to these Terms.
If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of a school, district, or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers both to you individually and to that organization.
2. The Service
NewPaths is a web-based tool that uses artificial intelligence to generate personalized career analyses, college-major explorations, and related guidance for students, parents, and school counselors. The Service includes:
- A public assessment flow that produces an AI-generated career report.
- A counselor dashboard for school staff to manage student rosters, distribute cohort access codes, and view aggregated insights.
- Shareable report URLs that allow recipients to view a previously-generated report.
- A read-only demo of the counselor dashboard, populated with synthetic data, available to prospective school customers.
We may add, modify, or remove features at any time. We will try to give reasonable notice of changes that materially reduce functionality for paying customers.
3. Accounts
Most of the Service is usable without an account. Two account types exist:
- Counselor accounts are issued to school staff by a district administrator after a school licenses NewPaths. Sign-in uses a passwordless magic-link sent to the counselor's work email.
- Demo sessions are issued automatically when a non-allowlisted visitor reaches the counselor dashboard through the demo path. Demo sessions are read-only and time-limited.
You are responsible for keeping your magic-link email secure. Anyone with access to your email can use the link to sign in as you. Notify us promptly if you believe your account has been accessed by someone else.
One counselor account per person. Do not share your account or its sign-in links with others.
4. Acceptable use
When you use the Service, you agree not to:
- Use the Service in violation of any applicable law or regulation.
- Misrepresent your identity, your role, or your affiliation with a school or district.
- Attempt to access counselor accounts or student records that do not belong to you or your organization.
- Use the Service to harass, defame, or harm any individual, including the students whose data passes through it.
- Attempt to extract bulk data from the Service through scraping, automated tools, or by exploiting cohort codes or shareable URLs beyond their intended use.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent applicable law expressly permits.
- Use the Service to develop a competing AI-powered career-guidance product.
- Use the Service to generate harmful, abusive, or illegal AI output, or to attempt to circumvent the safety guardrails of the underlying AI models.
- Submit anyone else's personal information without authority to do so. School counselors using the Service to track real students must have appropriate authority from their employing school or district.
- Interfere with the Service's operation, including by overloading our infrastructure or attempting denial-of-service.
5. AI-generated content and what it isn't
NewPaths uses large language models to generate career analyses, salary estimates, AI-impact assessments, and recommended next steps. This content is informational and educational. It is not:
- Professional career advice from a licensed counselor.
- Financial advice or investment guidance.
- Legal advice of any kind.
- A guarantee of future earnings, employment outcomes, or college admissions outcomes.
- A substitute for direct consultation with a human professional where one is appropriate.
AI models can produce inaccurate, outdated, or misleading information. Salary figures, AI-impact predictions, and career outlook statements are estimates drawn from publicly available labor-market data and AI-disruption research, refracted through a probabilistic model. They should be treated as one input among many in any real career decision.
You agree to use your own judgment, and to encourage the students and families you work with to use their own judgment, in applying anything NewPaths generates.
6. Intellectual property
Our content. The NewPaths website, the underlying code, the user interface, the prompts we use to generate reports, the brand and trademarks ("NewPaths," "NewPaths.ai," and our logos), and the curated labor-market research baked into our reports are all owned by North Jersey Creative Services LLC or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
Your content. You retain ownership of the assessment responses you submit and of any feedback you send us. By submitting content to the Service, you grant us a worldwide, royalty-free license to use that content to provide the Service to you and to improve the Service in aggregate, non-identifiable ways. We do not use your content to train AI models — see our Privacy Policy.
Generated reports. The AI-generated career reports produced for you are yours to read, save, print, and share. You may not resell them, repackage them into a competing product, or remove the NewPaths attribution and footers from shared versions.
7. Schools and institutional customers
NewPaths offers a separate institutional license for schools and districts that wish to deploy the counselor dashboard with their staff and students. Institutional terms include:
- A signed License Agreement (or order form referencing these Terms) between the school or district and NewPaths.
- A Data Processing Addendum that designates NewPaths as a school official under FERPA's school-official exception, where applicable.
- Annual or multi-year pricing based on roster size or enrollment.
- A defined data-deletion and export process for end-of-license.
If a conflict exists between a signed institutional License Agreement and these Terms, the License Agreement controls for that institution and its authorized users.

8. Payment
The consumer assessment is free to use, subject to per-browser report limits we may adjust over time. Email capture may be required to unlock additional free reports.
Counselor accounts and the counselor dashboard are available only under an active institutional license. Pricing, billing cadence, and refund policy are set in the License Agreement signed between NewPaths and the licensing institution.
Late payments may result in suspension of counselor access at our discretion, following reasonable notice.
9. Termination
You may stop using the Service at any time. Counselors may request account deletion by emailing grant@newpaths.ai; school-licensed accounts are deleted in coordination with the school administrator.
We may suspend or terminate your access if we believe you have violated these Terms, if required by law, or if continued provision of the Service to you would expose us or other users to undue risk. We will, where reasonable, give notice and an opportunity to cure before terminating.
Provisions of these Terms that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, dispute resolution) will survive.
10. Disclaimers of warranties
The service is provided "as is" and "as available." to the maximum extent permitted by law, NewPaths disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
We do not warrant that the service will be uninterrupted, error-free, or secure; that defects will be corrected; or that the AI-generated content will be accurate, complete, or suitable for any particular purpose.
11. Limitation of liability
To the maximum extent permitted by law, NewPaths, its members, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the service, even if we have been advised of the possibility of such damages.
In any event, our total liability arising out of or relating to these terms or the service will not exceed the greater of (a) the amount you have paid us for the service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. To the extent your jurisdiction prohibits such exclusions, our liability is limited to the smallest amount permitted by law.
12. Dispute resolution
We hope you never need this section, but here it is.
Informal resolution. Before filing any legal action, you agree to contact us at grant@newpaths.ai and attempt in good faith to resolve the dispute informally for at least sixty (60) days.
Governing law. These Terms are governed by the laws of the State of New Jersey, U.S.A., without regard to conflict-of-laws rules. The federal and state courts located in Morris County, New Jersey have exclusive jurisdiction over any dispute that is not resolved informally, and the parties consent to venue and personal jurisdiction there.
No class actions. You agree that any dispute will be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action.
13. General
- Entire agreement. These Terms, together with our Privacy Policy and any signed License Agreement, constitute the entire agreement between you and NewPaths regarding the Service.
- Changes. We may revise these Terms over time. The "Last updated" date and version above will be revised when we do. Material changes affecting counselor accounts will be communicated in the dashboard or by email. Continued use of the Service after a change constitutes acceptance.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets.
- Force majeure. We are not liable for delays or failures caused by events outside our reasonable control, including AI provider outages, hosting provider outages, internet failures, or acts of government.
